ARTICLE 1 SCOPE OF THE AGREEMENT The purpose of this Procurement Agreement is the Supply of a MO-97A : Oil Hydraulic Micromanipulator G1 to FORTH from the Supplier(altogether be referred to as Equipment. I parti ular, the Supplier undertakes to supply/provide the Institute of Applied and Computational Mathematics (IACM) of FORTH with the aforementioned, all of which as described in detail in Annex A (re. upplier s financial offer) which is attached hereto and constitutes an integral part of this Agreement. ARTICLE 2 TERM The term of execution of the Project of this Agreement shall amount to a period of one (1) month effective upon the date of signature of this Procurement Agreement. ARTICLE 3 DELIVERY Delivery of the Equipment shall be performed by FO TH respo si le for the deli ery perso nel. All items shall be delivered to the Co putatio al Neuros ie es La oratory of the I stitute of Applied a d Co putatio al Mathe ati s IACM of FORTH at Vasilika Vouton, Heraklion, Crete, Greece, and at premises determined by the FORTH respo si le for the deli ery perso el; The Supplier shall deliver the Equipment, which shall be subjected first to a quantitative and qualitative control by such competent FORTH control & acceptance personnel; The FORTH control & acceptance competent personnel shall draw up the control & acceptance protocol the latest within five (5) days from delivery. or the bid/offer, the such competent FORTH personnel establishes his conclusions in writing and informs the Supplier of its remarks and the Supplier should repair the defect or make amends for the omission the latest within one (1) month from receipt of such notice. In the event of refusal by the Supplier to correct the defects or if the aforementioned deadline expires without no effective action being taken or in the event of partial or inadequate remedy, the aforementioned committee may, at its own discretion, set a new deadline for the Supplier to rectify the situation or declare said Supplier to be in default. ARTICLE 4 OBLIGATIONS OF THE SUPPLIER The Supplier guarantees that this Procurement Project Agreement shall be executed in accordance with the terms and conditions of the Agreement and that the products supplied shall bear all characteristics and properties set forth in this Agreement and shall be free from any defects due, among others, to inadequate design, manufacturing defects or defective materials and shall meet the specifications, functions, purpose and properties set forth in the announcement or laid down by FORTH during the execution of this Procurement Project Agreement. The Supplier guarantees that all Equipment delivered shall be new. Transaction (ICT), such VAT amount shall burden FORTH in accordance to all applicable national (Greek) statutory provisions. Payment of the Price of this Supply Agreement shall be made as follows : By wire transfer from FORTH to a bank chosen by the Supplier (Bank of Tokyo-Mitsubishi UFJ Ltd) payable within thirty (30) days from the delivery of the Equipment following signature conclusion of the Acceptance Protocol by FO TH s respo si le for the deli ery perso el ARTICLE 6 AMENDMENT The Agreement may be amended when both parties agree to that effect in writing. ARTICLE 7 ASSIGNMENT - TRANSFER The Supplier has no right of transfer or assign the Agreement or part thereof without the written consent of FORTH. ARTICLE 8 PROPERTY ISSUES The Supplier shall preserve the ownership of the deliverables and the components thereof till the acceptance date, on which date the ownership, free of any liens and third party rights, is transferred to FORTH. to prevent any damages or losses and is liable for any damages or harm to persons, objects or facilities of FORTH, the personnel thereof or third parties as well as for the correction of such damages or defects that may incur during or as a result of the execution of the Project by the Supplier, if such damages derive from its action or omission or a defect in Equipment. The Supplier must insure and maintain insurance of its own personnel in accordance with the requirements of the competent social insurance institutions throughout the term of execution of the Project. Α 0 Α Α Α Α Ω Α Α FORTH is entitled to terminate this Agreement in case: a) the Supplier does not execute the Project in the manner set out in the Agreement, notwithstanding the multiple notices by FORTH to that effect. b) the Supplier assigns the Agreement or subcontracts works without the written approval of FORTH. c) the Supplier files for bankruptcy, becomes subject to administrative receivership or liquidation, is dissolved or the company licence thereof is suspended or judgements are enforced thereon with regard to the assets of the Supplier or a significant part thereof. The consequences of termination take effect after the Supplier is notified of the termination by FORTH. οσού ο βα ι ού ι ή α ος. ARTICLE 11 FORCE MAJEURE The parties are not liable for the nonperformance of their contractual obligations to the extent that such failure is due to force majeure events. ARTICLE 12 APPLICABLE LAW - JURISDICTION This Agreement is governed by the Greek Law. In the event of any disputes that may arise from the interpretation or execution or implementation of the Agreement or under the Agreement, FORTH and the Supplier shall extend every possible effort to amicably resolve such disputes in good faith and in accordance with fair trade practices. Any dispute that cannot be resolved as set out above shall be referred to the competent courts of Heraklion, Crete. This Agreement is executed in four (4) copies and each party has received two (2) copies.
