March 2012 Draft Law for Improvement of Business Environment New corporate regulations Οn 23 March 2012 a new draft law of law was filed for vote with the Greek Parliament, which on the one hand introduces a new company type, the Private Capital Company (PCC), and on the other hand significantly amends the legal framework regulating General Partnerships (OEs), Limited Partnerships (EEs) and dormant partnerships, covering the legislative gaps existing until today in relation to the exit of partners and the dissolution of such partnerships. Finally, taking into account the distinction between authentic and non authentic joint ventures, the registration of joint ventures with the General Commercial Registry as well as certain legislative provisions for their operation are introduced. Specifically: Private Capital Company (PCC) The Private Capital Company (PCC) appears to be a more simple and flexible Limited Liability Company. With the exception of companies which by virtue of the applicable legislation can only take a specific legal form, enterprises with any commercial purpose can be established as PCCs. The company can be established by one partner and have a minimum capital of one (1) EURO (whereas the minimum capital of limited liability companies currently amounts to EUR 4 500). The partners will participate in the company with contributions in cash or in kind, non capital contributions or guarantees, which include the provision of services or the assumption of liability towards third parties on behalf of the company (whereas in limited liability companies partners participate only with contributions in cash or in kind). In principle only the company with its assets is liable for the company s obligations. The company s Articles of Association and its amendments can be executed by virtue of a private document (unless real estate is contributed to the company) in one of the official languages of the European Union (whereas limited liability companies are established and their Articles of Association are amended by virtue of notary deeds executed in Greek). There are no restrictions as to the company s name (provided of course that it is not already used by another entity). Under certain conditions and procedures, the company s registered address can be transferred to another country of the European Economic Area, without the company being dissolved. Special clauses regulating the company s duration and the other details related to the company s establishment and publicity requirements are established. Issues related to the company s administration and its corporate bodies are sufficiently regulated. Issues related to the company s financial statements, consolidation of accounts and audit requirements are regulated by direct reference to the provisions of Law 2190/1920 regulating Corporations (AEs). μας ενημερώσετε στην παρακάτω διεύθυνση: dtsotsou@cpalaw.gr Partnerships (General Partnership, Limited Partnership and Dormant Partnership) Partnerships may now continue to operate for a period of three months even with one partner. The partner can exit from the partnership without such exit qualifying as an obligatory termination of the partnership. The partnerships name can now be formed by reference to their purpose (and not only by reference to the names of their partners). The constitutive character of the registration of General Partnerships and Limited Partnerships with the General Commercial Registry is introduced and it is clarified that the provisions regulating General Partnerships apply to unpublished partnerships which have both contractual and bankruptcy capacity. Under the new draft law, in case of death of the general partner, his heirs may participate in the partnership as limited partners, provided that the other partners agree to their participation under this capacity. It is provided for the first time that partnership can be dissolved by virtue of a court decision following a partner s relevant application for serious cause. In case of operation of a Limited Partnership before its registration with the Companies Register, the limited partner has personal and unlimited liability for the corporate debts having arisen during the period in question. Finally, the personal lenders of the partners, in order to satisfy their claims, are provided with the right to file an application before the competent courts requesting the partners exit from the partnership and 2
the determination of the value of their participation in the partnership. Joint Ventures Under the new draft law, joint ventures can be registered with the General Commercial Registry. If a joint venture is registered with the General Commercial Registry or if a joint venture contracts as such, it will qualify as a union of persons with contractual and bankruptcy capacity. If the joint venture exercises commercial activity ( non authentic joint venture), it will be obliged to register with the General Commercial Registry, its registration will have a constitutive character and the provisions regulating General Partnerships will apply. Other important provisions of the draft law of law regarding the publications of Corporations and Limited Liability Companies Under the new draft law, the publication of corporate data in media other than the Official Government Gazette (eg. of the financial statements in various newspapers) can be substituted by their posting on the company s website, provided that the website has been registered in the company s account and the Register is informed of each posting. In case the companies do not have corporate websites, the above data will only be published in the Official Government Gazette and one daily financial newspaper circulating all over Greece. Τέλος, λαμβάνοντας υπόψη την διάκριση μεταξύ «γνήσιας» και «μη γνήσιας» κοινοπραξίας, θεσμοθετούνται η καταχώρηση Κοινοπραξίας στο Γενικό Μητρώο (ΓΕΜΗ) και κάποιες βασικές νομοθετικές προβλέψεις για την λειτουργία αυτής. Ειδικότερα: Ιδιωτική Κεφαλαιουχική Εταιρεία (ΙΚΕ) H Ιδιωτική Κεφαλαιουχική Εταιρεία (ΙΚΕ) παρουσιάζεται σαν μια απλουστευμένη και πιο ευέλικτη μορφή της Εταιρείας Περιορισμένης Ευθύνης (ΕΠΕ). Αφορά επιχειρήσεις με οποιονδήποτε εμπορικό σκοπό, εκτός από αυτές για τον σκοπό των οποίων ο νόμος έχει ορίσει άλλη (ειδική) εταιρική μορφή. Η εταιρεία θα μπορεί να συσταθεί από ένα και μόνο εταίρο και να έχει ελάχιστο κεφάλαιο ένα (1) ΕΥΡΩ (ενώ η ΕΠΕ έχει ελάχιστο κεφάλαιο ΕΥΡΩ 4 500). Οι εταίροι αυτής θα συμμετέχουν με κεφαλαιακές, εξωκεφαλαιακές ή με εγγυητικές εισφορές, οι οποίες συμπεριλαμβάνουν την παροχή υπηρεσιών ή και τη ανάληψη ευθύνης για την εταιρεία έναντι τρίτων (ενώ στην ΕΠΕ οι εταίροι συμμετέχουν μόνο με κεφαλαιακές εισφορές, είτε σε χρήμα είτε σε είδος). Για τις υποχρεώσεις της εταιρείας ευθύνεται καταρχήν μόνο η ίδια η εταιρεία με την περιουσία της. Το καταστατικό της και οι τροποποιήσεις του μπορούν να συνταχθούν με ιδιωτικά έγγραφα (εκτός αν υπάρχει εισφορά ακινήτου) και μάλιστα σε μια από τις επίσημες γλώσσες της Ευρωπαϊκής Ένωσης (ενώ για την ΕΠΕ απαιτείται συμβολαιογραφικό έγγραφο στην ελληνική γλώσσα). εν υπάρχουν περιορισμοί ως προς το περιεχόμενο της επωνυμίας της (αρκεί βέβαια να μην ανήκει ήδη σε κάποιο τρίτο). Επιτρέπεται υπό προϋποθέσεις και συγκεκριμένες διαδικασίες η μεταφορά της καταστατικής έδρας της εταιρείας σε άλλη χώρα του Ευρωπαϊκού Οικονομικού Χώρου, χωρίς να λυθεί η εταιρεία. Θεσπίζονται ειδικοί όροι για την διάρκεια αυτής και τα υπόλοιπα στοιχεία που αφορούν την σύσταση και την δημοσιότητά της. Τα περί της διοίκησης/διαχείρησης αυτής και των λοιπών εταιρικών και καταστατικών οργάνων της ρυθμίζονται με επαρκείς λεπτομέρειες. Για τις οικονομικές καταστάσεις της εταιρείας, τυχόν ενοποίηση και τον έλεγχο αυτών υπάρχει ευθεία παραπομπή στις διατάξεις του νόμου 2190/1920 περί ΑΕ. Προσωπικές Εμπορικές Εταιρίες (ΟΕ, ΕΕ, Αφανής) Παρέχεται δυνατότητα προσωρινής συνέχισης (για 3 μήνες) της εταιρείας έστω και αν απομείνει ένας εταίρος. Προβλέπεται δικαίωμα εξόδου του εταίρου χωρίς υποχρεωτική καταγγελία 4
Η επωνυμία των εταιρειών αυτών μπορεί πλέον να σχηματιστεί και από το αντικείμενο της επιχείρησης (όχι μόνο από το όνομα των εταίρων). Θεσμοθετείται ο συστατικός χαρακτήρας της καταχώρισης των Ο.Ε, και Ε.Ε στο ΓΕΜΗ, και διευκρινίζεται ότι οι αδημοσίευτες εταιρείες έχουν ικανότητα δικαίου και πτωχευτική ικανότητα και εφαρμόζονται σε αυτές οι διατάξεις για τις ομόρρυθμες εταιρείες. Σε περίπτωση θανάτου ομόρρυθμου εταίρου οι κληρονόμοι του μπορούν να υπεισέλθουν στην εταιρεία ως ετερόρρυθμοι εταίροι, αν συμφωνήσουν και οι υπόλοιποι εταίροι. Προβλέπεται για πρώτη φορά λύση της εταιρείας κατόπιν δικαστικής απόφασης μετά από αίτηση εταίρου, εφόσον υπάρχει σπουδαίος λόγος. Σε περίπτωση λειτουργίας της Ε.Ε πριν την καταχώριση αυτής στο ΓΕΜΗ, καθιερώνεται προσωπική και απεριόριστη ευθύνη του ετερόρρυθμου εταίρου για τα χρέη που γεννήθηκαν σε αυτό το διάστημα. Τέλος προβλέπεται στους ατομικούς δανειστές των εταίρων προκειμένου να ικανοποιηθεί η απαίτηση τους, να ζητήσουν από τα δικαστήρια την έξοδο του εταίρου και τον καθορισμό της αξίας της συμμετοχής του στην εταιρεία. Κοινοπραξίες Προβλέπεται εφεξής η δυνατότητα καταχώρισης αυτών στο ΓΕΜΗ. Αν καταχωρηθεί κοινοπραξία στο ΓΕΜΗ, ή αν εμφανισθεί κοινοπραξία προς τα έξω, θα αποκτά (ως ένωση προσώπων) και ικανότητα δικαίου και πτωχευτική ικανότητα. Αν η κοινοπραξία ασκεί εμπορική δραστηριότητα («μη γνήσια» κοινοπραξία), τότε θα υποχρεούται να καταχωρηθεί στο ΓΕΜΗ, η καταχώρηση της θα έχει συστατικό χαρακτήρα και θα εφαρμόζονται σε αυτήν οι διατάξεις περί ομόρρυθμων εταιρειών. Άλλες σημαντικές διατάξεις του νομοσχεδίου σχετικά με τις δημοσιεύσεις των ΑΕ και των ΕΠΕ Η δημοσίευση στοιχείων σε άλλα μέσα πλέον του ΦΕΚ (πχ. των οικονομικών καταστάσεων σε διάφορες εφημερίδες) μπορεί πλέον να υποκατασταθεί με ανάρτηση αυτών στην ιστοσελίδα της εταιρείας, εφόσον η διεύθυνσή της ιστοσελίδας έχει καταχωρηθεί στην Μερίδα της Εταιρείας και ενημερώνεται για την κάθε ανάρτηση το Μητρώο.
