All Participants must submit technical and financial offer for ARTICLE 3.2 destination points categories and for the delivery mode (FOB) at supplier s installations within the Greek territory. Participants may include in their offer besides the elements (technical and financial) of procurement on FOB basis, an additional offer (technical and financial) for the transportation and delivery of fuel from the loading point to PPC s installations. ARTICLE 1. Time and Place for Tenders Responsible Department. 1.1. The Department responsible for all issues related to the present Invitation for Tenders is the Material Fuel Purchasing & Trasportation Department of PPC S.A. 4

Eligibility for Participation The present Invitation for Tender is open to all companies, groups of companies, consortia and joint-ventures, having: 2.1. An extensive and sound experience in the oil market as suppliers or/and traders, who have concluded and successfully completed within the last five (5) years contracts, of total delivered quantity of fuel measuring up to at least 1.000.000 MT or Klit as applicable - of either Heavy Fuel Oil or Diesel Oil. A detailed description and record of the above contracts, including customer data (company name, address, phone numbers and person to contact) shall be included in the proposal. 2.2. Documentary evidence that the liquid fuels to be supplied by the participant conforms to the Inquiry Documents. A written Statement of conformity with the technical specifications shall be included in the proposal. 5

ARTICLE 3. Scope of Supply. 3.1. Period intended to cover PPC s needs. The supply covers the needs in Low Sulfur heavy fuel oil 1% with Low Pour Point of Plants in the small islands, Diesel oil of SES Linopermata, SES Rhodes, Plants in the small islands and Interconnected System, Diesel oil with CFPP -15 o C max, Heating Diesel Oil and Gasolines of Interconnected System through the period 01.01.2009 to 31.12.2010. 3.2. Types and specifications of fuels. 3.2.1. Types of fuels/ Destination Points Categories. factor of plus or minus 20 percent at PPC s option. 3.4. Destination points / Delivery Terms 3.4.1. Destination Points All the destination points are classified in 5 categories (1 for Heavy Fuel Oil / 3 for diesel oil / 1 for gasolines) as they are presented in Appendix "B" Table B1. Quantitative data for each of the destination points category (as annual quantities and storage capacities) are attached hereto in Appendix "B". Heavy fuel oil is delivered at twelve (12) destinations, Diesel oil is delivered at forty one (41) destinations and Diesel oil with CFPP -15 o C max at one (1) destination. General information regarding port facilities and fuel oil installations at Plants is attached hereto in Appendix "C". It is clearly stated that it is the Participants sole responsibility to obtain at his own concern and expenses all additional information concerning the discharge port facilities that might be deemed necessary by Participant for the preparation of his Proposal. 3.4.2. Delivery Terms. The delivery of fuels will be on FOB basis at Supplier s installations in the Greek territory. Additionally, Participants may transport and deliver the fuels from Supplier s installations to PPC s destination points. PPC reserves the right to select, for each case, the appropriate and most advantageous option. Delivery for all island destinations will be made by vessels and for inland destinations will be realized by tank vehicles or wagons. 3.4.3. Consignment Sizes. The fuels shall be delivered in consignments determined per each destination points category in Appendix B Table B2. ARTICLE 4. Evaluation of Tenders and Award Procedure. 4.1. The evaluation of offers and the award of the supply will be carried out per destination points category. 4.2. Tenders will be evaluated on the lowest price basis at PPC s destination points. 4.2.1. In case of an offer including transportation costs then the price offered must be analyzed in two separate and clearly stated parts : Price for delivery on FOB basis and 7

Price for the transportation and delivery from Supplier s installations to PPC s destination points. 4.2.2. For comparison purposes any Tender prices for delivery on FOB basis will be adjusted by adding the corresponding transportation cost for each destination point as specified in paragraph 9.1.4. of the Bidding Terms and Procedures of the present Bid. 4.3. For the completion of the award procedure for each destination points category PPC reserves the right to ask for offer improvement - only the Bidders with the best offers - through a negotiation process. 8

Parts and Documents of Invitation. 1.1. The present Invitation comprises all of and only the following Parts (Documents): Invitation for Tenders (Document 1 of 4) Bidding Terms and Procedures (Document 2 of 4) Draft Contract (Document 3 of 4) APPENDICES (Document 4 of 4) ARTICLE 2. Validity of Tenders. All Tenders shall explicitly indicate that they are valid and binding for the Bidder until Friday the 31 st of October 2008. Tenders setting a shorter period of validity are considered unacceptable and thus shall be unquestionably rejected. 10

ARTICLE 3. Preparation of Tenders. 3.1. All Tenders shall be submitted in two (2) original copies, duly signed on all pages. 3.2. All Tenders shall be submitted only in the Greek or the English language. Any documents / certificates pertaining to the Supplier s status and/or validation, issued in any other language by the authorities of the country, in which the Supplier is established, must be accompanied by a duly certified translation into the English Language. 3.3. The Tenders shall be in conformity in every respect with the terms of the present inquiry and shall be clearly phrased so as to permit evaluation of the bids with no need for further explanations from the Bidders. 3.4. The Bidder shall examine all instructions, forms, terms and specifications in the Inquiry Documents. Failure to furnish all information required by the Inquiry or submission of a Tender not in conformity with the terms of the present inquiry will be at the Bidder's risk and his Tender may be rejected. 3.5. Each Tender Envelope shall include the following: 3.6.1. Participation Letter of Guarantee, according to the specimen D.1 attached in APPENDIX D. 3.6.2. Declaration of unreserved acceptance of all Terms and Conditions set forth by PPC for the present Invitation for Tenders, according to the specimen D.2 attached in APPENDIX D. 3.6.3. Declaration of acceptance of the validity term of the Tenders set forth in Article 2 hereinabove, prepared according to specimen D.3 attached in APPENDIX D. 3.6.4. The necessary documents concerning the non participation of off-shore companies in the share capital of the Bidder s company as well as the required documents concerning the shares registration of the Bidder s company, prepared according to the provisions in Article 6 herein below. 11

3.6.5. The necessary documents concerning Participant s past experience and especially references on previous experience in supplying and/or trading liquid fuels and a list of contracts for the supply of liquid fuels that the Participant has undertaken and successfully completed within the last five (5) years. A detailed description and record of the contracts according to ARTICLE 2 of the Invitation for Tenders is to be submitted. In particular, for each of the above contracts, the following shall be included in the proposal: Name and Address of Client. Contact Person(s), incl. phone numbers. Type of contract. Detailed description of the task(s) undertaken. The role assumed by the Participant. 3.6.6. Any official financial documentation for the last three years, proving the Participant s financial capability to fulfill the obligations arising from his proposal must be submitted (such as his annual financial statements i.e. Balance Sheet, Profit and Loss Account and any other data which are considered to be useful). 3.6.7. Decision by the Board of Directors or of equivalent competent administrative body of the Bidder for: Approval of participation in this Invitation. The appointment of a legal representative. 3.6.8. The technical offer for the SUPPLY of the fuels of the present Invitation for Tenders, prepared according to the provisions in Article 4 herein below. 3.6.9. ARTICLE 4. Technical Offer. 4.1. The technical offer of the Tender shall be prepared according to specimen D-5 attached in APPENDIX D. 4.2. Technical offers shall include the following: 4.2.1 Types of fuels offered / Quantities. Specific reference is made to the types of fuels and the corresponding quantities which the Participant could provide to PPC. 4.2.2. Quality characteristics: Detailed description of the main technical and performance characteristics of each of the fuel types offered will be included, as well as the documentary evidence (a written Statement) of conformity with the technical specifications set in APPENDIX A for the types of fuels to be supplied by the participant. 4.2.3. Delivery terms: Concerning the delivery terms the following information has to be clearly stated: - Delivery basis (FOB or FOB and transportation to PPC s Installations). - For FOB deliveries the loading points in Greece as well as tanker sizes that can be moored and the guaranteed average loading rates; said information shall be used to determine the laytime. - In the case of transportation and delivery to PPC s Installations, the cargo sizes for each delivery point, will be according to APPENDIX B- Table B2. Additionally, all information about the Participant s means of transportation capabilities has also to be included in the offer. The transportation means (vessels or/and tank vehicles) should be in full compliance with the existing Greek / EU legislation and standards. Especially for the vessels used for heavy fuel oil should be obligatory double hull and double bottom. - Α list of vessels to be used by the Participant including ships particulars of each vessel as well as each transportation capability. - Any further information which is considered being relevant to the evaluation of the Participant s offer. 4.3. Offers are accepted for one or more destination points categories listed in Table B1 of APPENDIX B. 4.4. Offers with quantities of fuels not covering the quantities needed at least for one of the destination points categories - as listed in Table B1 of APPENDIX B - are considered not acceptable. 4.5. A description of the services to be offered by type of fuel, as envisaged by the Participant, the corresponding methodology and the proposed mode of delivery shall be included. 13

Information concerning the Participant s business experience in the fuel market and an organisation chart showing the Company s structure including information of personnel involved are also required. ARTICLE 5. Financial Offer - Prices. 5.1. The financial offer of the Tender shall be prepared according to specimen D-6 attached in APPENDIX D taking into account correspondingly - the following: 5.1.1. For heavy fuel oil (item 1) : Offers to be based on the following: (a) On the monthly average of the daily high quotations, in US Dollars per tonne, for 1% SULPHUR FUEL OIL as published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY), for the month where the contractual delivery date is defined. (b) Plus an adjustment in US Dollars per tonne on (a) above, for delivery to each loading point in Greece (FOB basis), including - as appropriate - all related costs (quality improvement, freight, etc). 5.1.2. For diesel oil (Item 2): Offers to be based on the following: (a) On the monthly average of the daily high quotations, in US Dollars per tonne, for 10 ppm DIESEL OIL as published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY), for the month where the contractual delivery date is defined. (b) Plus an adjustment in US Dollars per tonne on (a) above, for delivery to each loading point in Greece (FOB basis), including - as appropriate - all related costs (quality improvement, freight, etc.). (c) Pricing shall be realized by volume using as reference density of 0,845 kg/lt. 5.1.3. For Diesel oil with CFPP -15 o C max Offers to be based on the following: (a) On the four days average of the daily high quotations, in US Dollars per tonne, for 10 ppm DIESEL OIL as published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY), for the four days preceeding the contractual delivery date. (b) Plus an adjustment in US Dollars per tonne on (a) above, for delivery to each loading point in Greece (FOB basis), including - as appropriate - all related costs (quality improvement, freight, etc.). (c) Pricing shall be realized by volume using as reference density of 0,845 kg/lt. 5.1.4. For Heating Diesel Offers to be based on the following: (a) Four days average of the daily high quotations, in US Dollars per tonne, for GASOIL 0,1% as published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY), for the four days preceeding the contractual delivery date. 14

(b) Plus an adjustment in US Dollars per tonne on (a) above, for delivery to each loading point in Greece (FOB basis), including - as appropriate - all related costs (quality improvement, freight, etc.). (c) Pricing shall be realized by volume using as reference density of 0,852 kg/lt. 5.1.5. For Gasolines Offers to be based on the following: (a) Four days average of the daily high quotations, in US Dollars per tonne, for PREMIUM GASOLINE 10 ppm as published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY), for the four days preceeding the contractual delivery date. (b) Plus an adjustment in US Dollars per tonne on (a) above, for delivery to each loading point in Greece (FOB basis), including - as appropriate - all related costs (quality improvement, freight, etc.). 5.2. Supply prices regarding heavy fuel oil (5.1.1.) and diesel oil (5.1.2) shall be determined on a monthly basis as the average of all applicable quotations for said month plus the adjustment and shall be constant throughout each calendar month. Supply prices regarding the rest types of fuels shall be determined on αdaily basis as the average of the four relative quotations of PLATTS preceeding the date of delivery. The contractual delivery date is set the date of completion of loading. 5.3. The price adjustment, as described in points (b) of paragraphs 5.1.1 to 5.1.5, herein above, shall remain constant throughout the contract duration. 5.4. Prices are to be quoted per destination points category. 5.5. Transportation Cost The unit price for transportation and delivery for all type of fuels shall be quoted in /MT or klit clearly and separately for each destination point of each category. a) The unit price for transportation and delivery with vessels shall be readjusted every three months during the validity period of contract as follows: For transportation with vessels according to T= To (0,20 + 0,40 M/Mo + 0,40 K/Ko). To = Transportation unit price offered by the Participant to this tender. Mo = Basic wages average of Chief Mate, Stoker, Marine Oiler and Sailor valid at the date of the tender as mentioned in the respective collective agreements for the specific categories of Vessels. 15

Ko = The average of months June 2008, July 2008 and August 2008 of the daily high quotations, in Euros per tonne, for 1% SULPHUR FUEL OIL as published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY). For the conversion of USD to shall be used for each daily price of 1% SULPHUR FUEL OIL the corresponding daily price rate USD / as published by the European Central Bank. T = Transportation unit price after the readjustmet. M = Basic wages average of Chief Mate, Stoker, Marine Oiler and Sailor, at the date of the readjustment of transportation cost, as mentioned in the respective collective agreements for the specific categories of Vessels. K = The three calendar months, preceeding the date of the readjustment of transportation cost, average, of the daily high quotations, in Euros per tonne, for 1% SULPHUR FUEL OIL as published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY). For the conversion of USD to shall be used for each daily price of 1% SULPHUR FUEL OIL the corresponding daily price rate USD / as published by the European Central Bank. (b) The unit price for transportation and delivery with tank trucks shall be readjusting according to the minimum transportation cost applicable by Greek Legislation in force. ARTICLE 6. Special Legal Provisions. 6.1. Special provision for the implementation of law 3310/2005 (official gazette, volume a, issue no. 30), as same is in force following amendment thereof by virtue of law 3414/2005 (official gazette, volume a, issue no.279). 6.1.1. For the implementation of Article 5 of Law 3310/2005 as in force, following amendment thereof by virtue of Article 5 of Law 3414/2005 and as provided by the Joint Ministerial Decision of the Ministers of Development and of the State No 20977/23.8.2007(Off. Gazette No 1673/Issue B), prior to the signing of the contract, a formal statement as provided by Article 8 of Law 1599/1986 (as amended) must be submitted by the legal representatives of the lowest bidder to PPC S.A., by which it will be formally declared that no condemnatory Court Decision regarding the offense of active corruption as provided by Article 3 of Law 3310/2005 as amended and in force, has been issued against the persons stipulated by the same Article of the said law. 6.1.2. In cases where the abovementioned formal statements are not issued in the relevant countries, these can be replaced by an Affidavit by the legal representatives of the said company before a Notary Public or a judicial authority or, in case where such Affidavit is not provided under the laws of the relevant country, by a formal statement of the said representatives, bearing an attestation of the validity of the relevant 16

signatures by a Notary Public or a Judicial or Administrative authority of the said country. 6.2. Special provision concerning implementation of article 4, par. 4, of the law 3310/2005, as same is in force following its amendment by law 3414/2005, in regard to the off-shore companies. During the bidding procedure, it shall be verified, under penalty of disqualification of the candidate, whether the latter s participation falls within the prohibition under article 4, par. 4, of law 3310/2005, as same is in force following its amendment by virtue of law 3414/2005 (off-shore companies). For this purpose, the prospective Bidders shall submit a relevant formal statement stipulated by article 8 of law 1599/1986, as same is in force, certified in accordance with the law by the competent authority, signed by the legal representative of the said enterprises or by a person duly authorized for this purpose by their board of directors (by also submitting a certified copy of the pertinent minutes), by virtue of which they shall state that the company does not fall within the prohibition of article 4, par.4, of law 3310/2005, as same is in force following its amendment by law 3414/2005 concerning off-shore companies. 6.3. Special provision concerning implementation of paragraph 1, article 8, of law 3310/2005, as same is in force following its amendment by virtue of article 8 of law 3414/2005 conversion of shares into registered ones 6.3.1. Insofar as bidding is concerned involving a value or amount of consideration which exceeds the sum of one million (1,000,000) EUROS, the sociètès anonymes which participate in the bidding independently, in a joint venture or association of persons, or in an entity of any other form, must submit the following supporting documents: (a) The Greek sociètès anonymes, the documents stipulated by the provisions of Presidential Decree 82/1996, as same is in force following its amendment by virtue of article 8 of law 3310/2005 (Official Gazette, volume A, issue no. 30), as same was amended by virtue of article 8 of law 3414/2005 (Official Gazette, volume A, issue no. 279). (b) The foreign sociètès anonymes, the documents stipulated by the provisions of article 8 of law 3310/2005 (Official Gazette, volume A, issue no. 30), as same was amended by article 8 of law 3414/2005 (Official Gazette, volume A, issue no. 279). 6.3.2. In the event a company of another legal form participates in the bidding, the said company is obliged to submit a formal statement stipulated by law 1599/86 stating nonparticipation of a sociètè anonyme in its capital, otherwise, the above-mentioned paragraph 6.3.1(a) shall apply in respect to the sociètè anonyme which holds partnership shares. ARTICLE 7. Submission of Tenders. 7.1. Proceedings concerning the submission, opening and evaluation of Tenders for the present Invitation for Tenders will be conducted by the 17

designated PPC s Department stated in the par. 1.1 of the Document Invitation for Tenders. 7.2. Closing date for the present Invitation for Tenders shall be Friday, the 26 th of September, 2008 at 11:00 a.m. 7.3. All Tenders may be either submitted in person within the last fifteen (15) minutes prior to the expiration of the above closing date or mailed in due time to be registered by the aforementioned closing date and time in the Generation Materials - Fuel and Purchasing Department secretariat, at the following address: Public Power Corporation S.A. Unsealing of the Tenders will take place in the premises of Materials Fuel Purchasing & Trasportation Department of PPC, at the address and time specified in paragraphs 7.2 & 7.3 above. 8.2. The procedure of unsealing the Tenders (stages A & B, herein below) shall be carried out at the presence of Bidders authorized representatives. 8.3. On the closing date and time the designated Committee shall proceed with unsealing of all Tenders (stage A). The Envelopes marked as FINANCIAL OFFER shall remain sealed. 8.4. The contents of each of the Tenders shall be checked against the provisions of Article 3 hereinabove and for each Tender the conformity in every respect with the terms of the present Inquiry will be determined (formal and technical evaluation). Tenders with deviations and / or exceptions to the requirements of the terms of said Inquiry shall be considered as Not Accepted and shall be excluded from any further evaluation. The PPC's determination of a Tender's conformity is to be based on the contents of the Tender itself without recourse to extrinsic evidence. According to the results of the formal and technical evaluation procedure, the Tenders shall be classified as either Accepted or Not Accepted. 8.5. Thereafter, the designated Committee shall proceed with unsealing (stage B) the separate envelopes marked FINANCIAL OFFER of all accepted Tenders during stage A of unsealing. All Bidders, whose Tenders were classified as Accepted shall be officially notified about the date and time of unsealing the Financial Offers. Further down, the designated Committee shall examine the presence and adequacy of the economic 18

elements, according to the provisions of Article 6 hereinabove and shall deem the Tenders as formally accepted or formally not accepted. 8.6. Economic evaluation concerns only the Tenders which during stage B of unsealing were declared as formally accepted. ARTICLE 9. Economic Evaluation of Tenders. 9.1. For the economic evaluation of the Tenders the following shall be applied: 9.1.1. The evaluation of financial offers and the award of the supply will be carried out per destination points category (for each one of the categories F-5, D-2, D-3, D-4 and G-1 the present inquiry refers to). 9.1.2. Tender prices not quoted per destination points category will be considered as inadequate, according to the provisions of Article 5 hereinabove and shall be classified as formally not accepted for which no further evaluation will take place. 9.1.3. In case that any of the Bidders offers a special discount for the entire award categories (quantities) of the present Invitation, PPC reserves the right to compare this particular offer to the total cumulative relative values of the lowest bid per destination points category and choose the lowest value. 9.1.4. For all categories, tenders will be evaluated as specified in ARTICLE 4 of the Invitation for Tenders of the present Bid. For evaluation purposes, transportation price shall be transformed in USD by using reference exchange rate of 1,50 USD/ and transportation adjustment for each destination point per category shall be specified according to the provisions of APPENDIX E. 9.2. For the completion of the award procedure for each destination points category PPC reserves the right to ask for offer improvement - only the Bidders with the best offers - through a negotiation process. In this negotiation process will be asked to participate - for each destination points category - the Bidders with the two lowest Tender prices and the Bidders who s Tender prices are not higher than 10% of the lowest per category bid. The Bidders, who s Tenders were evaluated - for each destination points category - as the ones accepted in the negotiation process shall be officially notified to submit their best and final offers at a certain place, date and time. In this negotiation process will not be accepted prices higher than these of the initial bidding procedure. The result of the negotiation process will lead to the award of the contracts per each destination points category. ARTICLE 10. Contract Award. 10.1. The Bid is not finalized prior to the approval of its result by PPC s competent administrative body. The decision of approval includes any eventual improvements of the offer accepted by the successful Bidder. 19

10.2.The award of the contract is notified to the supplier by letter inviting him to proceed with the conclusion and signing of the contract within 15 days. If supplier does not appear within the above time limit PPC is entitled to declare him forfeited. 10.3. PPC reserves the right to cancel the procedure initiated by the present Invitation for Tenders according to the following: 10.3.1. In case of breach of the rules of the procedure, if the result of the Procedure is influenced by such a breach. 10.3.2. In case the result of the Procedure is considered justifiably not satisfactory for the Corporation. 10.3.3. In case competition was inadequate, or if there is serious evidence that there has been an agreement between the Bidders to avoid real competition. 10.3.4. In case there have been essential changes in the needs of the Corporation. 10.4.The procedure is not finalized prior to the approval of its result by PPC s competent administrative body. 10.5. The Contracts shall be drawn up according to the Draft Contracts included in the present Invitation for Tenders (Documents 3 of 5 and 4 of 5). ARTICLE 11. PPC s Reservations and Rights 11.1. By participating in the present Invitation for Tenders a Participant unreservedly declares that he is fully aware of the terms as well as of all the data and parts of the Inquiry. 11.2. PPC reserves the right to postpone the closing date of the present Invitation for Tenders or to modify any part of the Inquiry. These modifications shall be included in Supplement(s) to the Inquiry, the issue of which shall be officially announced. 11.3.PPC does not bind itself to accept any Tender nor to assign any reason for the rejection of any Tender nor to purchase the whole of the liquid fuels specified or any part thereof and reserves the right to annul the process and reject all Tenders at any time prior to award a Contract, without thereby incurring any liability to the affected Participant or Participants. 11.4. PPC shall in no case be responsible or liable to indemnify Participants for any expense or cost Participants may have sustained for the preparation and submission of their Tender, particularly in case their Tender is not accepted or the Procedure is cancelled or postponed or transferred at any stage and time and for any reason or cause thereof. Consequently, those who participate in the present Invitation for Tenders and submit the Tender, independently of whether they have been finally accepted or not, do not acquire any right at all against PPC from this Inquiry and their participation to the Invitation for Tenders. 20

11.5. Any Tender, submitted according to the terms of the present Inquiry, is considered as proposal to PPC and not as an acceptance of PPC s proposal. 11.6. No Bidder is entitled to invoke any omissions in the submission of the offer or in signing of any document in order to be exempted from or diminish his liabilities. 11.7. The terms and restrictions concerning the submission of offers are to PPC s benefit, which has the right to waive them, without such an action however providing any right to the Bidders or any other third parties. ARTICLE 12. Acceptance of Purchase Order or Signing of Contract. The Bidder to whom the contract shall be awarded is obliged to submit to PPC any legalization document possibly required within the closing date to be specified. He is also obliged to accept the relevant Purchase Order or sign the relevant Contract and, at PPC s request, to deposit accordingly the Good Performance Letter of Guarantee of the Contract prepared according to the specimen D.4 attached in APPENDIX D - within the closing dates to be specified for this purpose. Otherwise, PPC reserves the right to cancel the award of the supply and claim every relative damage. ARTICLE 13. Participation Letter of Guarantee. 13.1. The Bidder along with its Tender shall submit a Participation Letter of Guarantee, whose text shall be according to the attached Specimen D.1 attached in APPENDIX D. The participation letter's height and the way of its submission are defined in the next paragraphs. 13.2. Participants submitting an offer for the entirety of fuels categories (quantities) specified in the Inquiry must submit a Participation Letter of Guarantee for a sum of 2.000.000,- U.S. Dollars (two million U.S.Dollars). In case of offers for only some of the fuels categories specified in the Inquiry, the Participation Letter of Guarantee shall be acceptable if it covers at least 500.000- U.S. Dollars per each category offered. 13.3. Participation Letter of Guarantee will be enclosed in the envelope containing technical elements. 13.4.If no reason arises for the said Participation Letter of Guarantee to be forfeited on PPC s favour, according to the terms of the present inquiry it shall be returned to its issuer, if the contract is not awarded to the Bidder and/or upon the expiration of the validity period of his Tender. In case of award to the Bidder, the said Letter of Guarantee shall be released after the signing of the Contract which is to be concluded with the Bidder and upon the deposition of the Good Performance Letter of Guarantee. 21

ARTICLE 14. Good Performance Letter of Guarantee. 14.1. Together with the signed Contract the Seller shall deliver to the Buyer, at his own expenses, a Good Performance Letter of Guarantee issued by a Bank of the Buyer s approval, made out according to the Specimen D.4 attached in APPENDIX D and covering a U.S. Dollars amount of 2% of the value of the offered quantities of fuels. 14.2. The value of fuels shall be estimated taking into account the monthly average of the daily high quotations, in US Dollars per tonne as published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY) for the contractual quantities for 1% SULPHUR FUEL OIL and/or for GASOIL 0,1% for August of the year 2008 and/or for 10 ppm DIESEL OIL and/or for PREMIUM GASOLINE 10 ppm for the first month of the year 2008 that the relative quotations will be published in PLATT S EUROPEAN MARKETSCAN under the heading FOB Med (ITALY). 14.3. The Seller s delay in delivering the said Letter of Guarantee entitles the Buyer to terminate the Contract immediately, while the Seller be responsible towards him for all damages possibly occurring and shall refund to the Buyer all without exception the amounts paid to him in advance, together with demurrage interest. If required and in order to assure the said refund, the Buyer may, according to his judgment, proceed to the forfeiture of the Participation Letter of Guarantee and/or the Advance Payment Letter of Guarantee, already in his hands. 14.4.The amount of the Letter of Guarantee shall be reduced by up to the half in case fifty per cent (50%) at least of the contract value has been delivered provided that there are no Buyer s claims due to other causes (e.g. penalty clauses,etc.). 14.5.If no contrary special term is included in this Contract, and no reason exists for its forfeiture, the said letter is returned to the Bank it was issued from, upon the Seller s request after full and complete fulfillment of all without exception his contractual obligation and after the final clearance of the accounts. 22

Εάνδενυπάρχουνδημοσιευμένες τιμέςγιατηνημερομηνίαολοκλήρωσηςτηςφόρτωσηςτότεουπολογισμόςτης προσωρινήςτιμήςθαβασίζεταιστηντελευταίαδημοσιευμένητιμήπριναπότην ημερομηνίαπαράδοσήςτου. ΤοοριστικότιμολόγιοθααποσταλείαπότονΠωλητήστονΑγοραστήμόλιςαυτό είναιπρακτικόεφικτό. Οποιαδήποτεεπιπρόσθετηπληρωμήπουπροκύπτειθα καταβληθείάμεσαστονπωλητήαπότοναγοραστή, οποιαδήποτεπροκύπτουσα υπερχρέωσηθαεπιστραφείάμεσαστοναγοραστήαπότονπωλητήσύμφωνα μετηςοδηγίεςπληρωμήςπουθαδώσειοαγοραστής. Σ αυτήτηνπαράγραφοη λέξηάμεσααντιστοιχείσεδιάστημαδέκα(10) εργάσιμωνημερώνελλάδος. Σεπερίπτωσηαποστολήςτιμολογίουσεδιάστημα μεγαλύτεροτωνεπτά(7) εργασίμωνημερώνπριναπότηνημερομηνίαπληρωμήςτότεητελευταίαθα μετατοπισθείαντίστοιχασύμφωναμετιςημέρεςκαθυστέρησης. ΣεπερίπτωσηπουείτεοΑγοραστήςείτεοΠρομηθευτήςδενκαταβάλλουνεξ υπαιτιότητάς τους στο άλλο Μέρος οποιοδήποτε οφειλόμενο ποσό την ημερομηνίαλήξηςτηςοφειλής, τότετοποσόαυτόθακαταβάλλεταιεντόκωςαπό την ημερομηνία λήξης, με τους τόκους υπερημερίας. Ο καθορισμός του επιτοκίου θα υπολογίζεταιτην πρώτη εργάσιμη ημέρα κάθε μήνα καιθα εφαρμόζεται το ίδιο επιτόκιο καθ όλη τη διάρκεια του μήνα. Για τις ληξιπρόθεσμεςοφειλέςεφαρμόζεταιτοεκάστοτεισχύονεπιτόκιουπερημερίας, όπωςαυτό καθορίζεταιαπό το Δ.Σ. της Ευρωπαϊκής ΚεντρικήςΤράπεζας σύμφωναμετον. 2842/2000 αριθμός3 παρ. 2. 6. Προγραμματισμόςφορτώσεων. Ο ΑγοραστήςθαγνωστοποιείεγγράφωςστονΠωλητή, τοαργότεροέωςτην 20 η ημέρα κάθε ημερολογιακού μήνα, πρόγραμμα με τις ενδεικτικές ημερομηνίεςπαραλαβώνγιατονεπόμενομήνακατάκατηγορίακαυσίμουκαι ενδεικτικόπρόγραμμαρυθμούπαραλαβώνγιατουςτρειςεπόμενουςαπόαυτόν ημερολογιακούςμήνες. Το αργότερο τρείς (3) ημέρες πριν από την αμοιβαία συμφωνημένη προγραμματισμένηημέραπαραλαβήςοαγοραστήςθαενημερώνειεγγράφως, αφού έχειπροηγηθείκαιπροφορική συνεννόηση, τονπρομηθευτή για τα στοιχεία τωνδεξαμενοπλοίων, τιςπροβλεπόμενεςημερομηνίεςάφιξηςτους καθώςκαιγιατοντύποκαιτηνποσότητατουκαυσίμουπουθαπαραδοθούν. Η παράδοσηκαιηπαραλαβήτωνσυμβατικώνποσοτήτωνθαγίνεταιαπότα συμβατικάορισμένασημείαφόρτωσηςγιακάθεκατηγορίακαυσίμου. Ο Πωλητής όμωςδιατηρείτοδικαίωμανακαθορίζεικαιάλλα σημείαφόρτωσης. Σεαυτή τηνπερίπτωσηεφόσονπροκύψειεπιβάρυνσητουαγοραστήμεέξοδαλιμένος πέραναυτώνπουκαταβάλλονταιγιατιςσυμβατικά ορισμένεςεγκαταστάσεις φορτώσεωντουπωλητήαυτάθακαλύπτονταιαπότονπωλητή. Ο ΠωλητήςυποχρεούταιναενημερώνειτονΑγοραστήτουλάχιστονπέντε(5) ημέρες νωρίτερα όταν υπάρχειαλλαγή του σημείου παραδόσεως των προγραμματισμένων φορτίων. Σε διαφορετική περίπτωση οποιαδήποτε απαίτησηεπίναυλουαπότοσυμβατικόμεταφορέατουαγοραστήθαβαρύνειτον Πωλητή. 28

7. ΠοιοτικήκαιΠοσοτικήΠαραλαβή. Ο προσδιορισμόςτηςποσότηταςτουκαυσίμουθαγίνεταιστιςεγκαταστάσεις παραλαβήςτουπωλητήαπότωνίδιοτωνπωλητήκαιθαεπιβεβαιώνεταιαπό τοναγοραστή. Όλατααπαραίτηταέγγραφαθαυπογράφονταιαπόαμφότερατα συμβαλλόμεναμέρηκαιόλεςοιμετρήσειςτηςποσότηταςκαιτηςποιότηταςπου θααναγράφονταισεαυτέςθαείναιδεσμευτικέςγιατασυμβαλλόμεναμέρηγια τηντελικήτιμολόγησηεκτόςαπόπεριπτώσειςόπουυπάρχειπροφανέςλάθοςή απάτη καιχωρίς την επιφύλαξη ως προς τα νόμιμα δικαιώματα κάθε συμβαλλόμενου μέρουςνα αξιώσειαπαιτήσειςγια τηνποσότητα ή/καιτην ποιότητα. Ειδικάόσοναφοράτομαζούτο προσδιορισμόςτηςποσότηταςθαείναισε καθαρόκαύσιμο(ηποσότητατουνερούπουπεριλαμβάνεταιστοκαύσιμοδεν θατιμολογείται). 7.1. ΠοσοτικόςΠροσδιορισμός Όλεςοιδεξαμενέςφόρτωσηςθαεξυδατώνονταιπριναπό τηνπρομέτρησή τους. Η δειγματοληψία στις δεξαμενές καυσίμων θα πραγματοποιείταιαπό τον ΠρομηθευτήπαρουσίαεκπροσώπωντουΑγοραστή. Συμφωνείταιμεταξύ του Αγοραστή καιτου Πωλητή ότιοιαναλύσεις της πυκνότητας καιτης περιεκτικότηταςσενερό θα πραγματοποιούνταιστα εργαστήριατουπωλητήστασημείαφόρτωσης, παρουσίαεκπροσώπωντου Αγοραστή, οιοποίοικαιθαεπιβεβαιώνουντααποτελέσματατωναναλύσεων. 7.1.1. Παραλαβήκαυσίμουμεμέτρησηδεξαμενών: α) Οιμετρήσεις του ύψουςτης στάθμης καιτηςθερμοκρασίαςθα πραγματοποιούνταιαπότονπρομηθευτήπαρουσίαεκπροσώπωντου Αγοραστήκαιθαεπιβεβαιώνονταιαπότουςτελευταίους. β) ΠριναπότηφόρτωσηστοδεξαμενόπλοιοοιεκπρόσωποιτουΠωλητή καιτου Αγοραστή θα μετρούν την ποσότητα του καυσίμου στις δεξαμενές φόρτωσης (προμέτρηση) και θα λαμβάνουν αντιπροσωπευτικά δείγματα μεσκοπό την μέτρηση (μόνο για το καύσιμομαζούτ) τηςπυκνότηταςκαιτηςπεριεκτικότηταςσενερό. γ) ΜετηνολοκλήρωσητηςφόρτωσηςοιεκπρόσωποιτουΠωλητήκαι τουαγοραστήθαμετρούντηνποσότητατουκαυσίμουπουπαρέμεινε στις δεξαμενές φόρτωσης (επιμέτρηση) και θα λαμβάνουν αντιπροσωπευτικά δείγματα μεσκοπό την μέτρηση (μόνο για το καύσιμομαζούτ) τηςπεριεκτικότηταςσενερό. δ) Η συνολικήφορτωθείσαποσότητα προςτιμολόγησηθα προκύπτει απότοάθροισματωνποσοτήτωνκαυσίμουπουμετρήθηκανκατάτην προμέτρησητωνδεξαμενώναφαιρώνταςτοάθροισματωνποσοτήτων καυσίμουπουμετρήθηκανκατάτηνεπιμέτρησητωνδεξαμενώνκαι, μόνο για το καύσιμο μαζούτ, την συνολική ποσότητα νερού στο καύσιμο. Η συνολικήποσότητα τουνερού θα προκύπτειαπότην ποσότητα του νερού που μετρήθηκε κατά την προμέτρηση των δεξαμενώναφαιρώνταςτηνποσότητατουνερούπουμετρήθηκεκατά τηνεπιμέτρησητωνδεξαμενών. 29
