[(εισάγεται ολόκληρο το όνοµα, η εµπορική επωνυµία και η διεύθυνση του Πράκτορα)] («ο Πελάτης» ή «Πράκτορας») και για να καταστεί δυνατόν για τον Πελάτη µας να συµµορφωθεί µε τους κανόνες της ΙΑΤΑ υπό τις εφαρµοστέες αποφάσεις της ΙΑΤΑ, κανόνες και διαδικασίες («οι Κανόνες») για συµµετοχή στο BSP Eλλάδος ή στο CASS Ελλάδος, εµείς [εισάγεται ολόκληρο το όνοµα και η διεύθυνση της Τράπεζας] «η Τράπεζα» εγγυάται δια του παρόντος ως πρωτοφειλέτης και όχι ως απλώς εγγυητής, παραιτείται από όποιες νόµιµες εξαιρέσεις και ενστάσεις, και δια του παρόντος αναλαµβάνει ευθύνη από κοινού και εξ ολοκλήρου µε τον Πελάτη µας την πληρωµή όλων των παρόντων και µελλοντικών οφειλόµενων ποσών στα µέλη της ιεθνούς Ενωσης Αεροπορικών Εταιριών («ΙΑΤΑ»), καθώς και στις αεροπορικές εταιρείες που συµµετέχουν στο προαναφερόµενο Πρόγραµµα...[εισάγεται BSP ή CASS της ΙΑΤΑ], που έχουν ή θα διορίσουν ως Πράκτορα, σύµφωνα µε τους παρακάτω όρους: 1. Εάν και όταν ο Πελάτης µας αποτύχει να πληρώσει οποιοδήποτε ποσό ή ποσά για οποιοδήποτε λόγο που είναι πληρωτέο άµεσα ή κατά διάφορο τρόπο, σχετικά µε τα Εισιτήρια ή τις Φορτωτικές, ή όποιο άλλο πληρωτέο ποσό, κατά την περίοδο της παρούσας Εγγύησης, σύµφωνα µε τους Κανόνες (εφεξής ως «το Χρέος»), θα πληρώσουµε το οφειλόµενο ποσό σε εσάς (έως το όριο του ποσού) σύµφωνα µε απαίτηση που έχει γίνει όπως παρακάτω αναφέρεται. εν θα καθυστερήσουµε την πληρωµή, ούτε θα την αντιτάξουµε για κανέναν λόγο. Θα ενηµερώσουµε γραπτώς ευθύς µόλις γίνει η πληρωµή. 2. Η συνολική υποχρέωση σύµφωνα µε την παρούσα Εγγύηση είναι περιορισµένη και σε καµία περίπτωση δεν µπορεί να υπερβεί το ποσό των... Αυτό το περιορισµένο ποσό της Εγγύησης δεν θα ικανοποιηθεί, απαλλαχθεί, ή επηρεασθεί από άλλη ενδιάµεση πληρωµή ή εξόφληση λογαριασµού. 4. Η παροχή χρόνου στον Πελάτη µας ή αµέλεια ή ανεκτικότητα από εσάς στο να απαιτείτε ή να επιβάλλετε την πληρωµή των χρηµάτων σύµφωνα µε τους όρους του Συµφωνίας Πρακτόρευσης, που υπογράφεται από τον Πελάτη µας ως προϋπόθεση για διαπίστευση ως εγκεκριµένου πράκτορα από την ΙΑΤΑ, ή ειδικές παραχωρήσεις, δεν θα ζηµιώνει ούτε θα επηρεάζει την παρούσα Εγγύηση. 5. Η παρούσα Εγγύηση τίθεται σε ισχύ από... (εισάγεται η ηµεροµηνία) και θα συνεχίσει να ισχύει µέχρι την ηµεροµηνία λήξης της (εφεξής θα ονοµάζεται «Ηµεροµηνία Λήξης») και κατόπιν έγγραφης ειδοποίησης που θα δοθεί στην ΙΑΤΑ τρεις µήνες πριν, µετά την οποία η παρούσα Εγγύηση θα λήξει. Μετέπειτα, η ευθύνη από κοινού και εξ ολοκλήρου αυτόµατα θα διακοπεί και η Εγγύηση θα είναι άκυρη. 6. Πληρωµή έναντι της παρούσας Εγγύησης θα εξαρτάται από γραπτή απαίτηση που θα προέρχεται από τον Υπεύθυνο της ΙΑΤΑ Ελλάδος δηλώνοντας ότι έχει βεβαιωθεί ανεξόφλητο ποσό από τον Πελάτη µας σύµφωνα µε τους Κανόνες. Το Χρέος όπως έχει δηλωθεί από την ΙΑΤΑ θα θεωρείται οριστικό και τελικό και δια του παρόντος επιβεβαιώνουµε ότι δεν θα χρειαστούµε απόδειξη αυτού. Η πληρωµή θα γίνεται στον λογαριασµό που θα υποδείξει η ΙΑΤΑ Ελλάδος. 7. Η παρούσα Εγγύηση θα παραµείνει σε ισχύ, παρά τις οποιεσδήποτε αλλαγές στην εταιρική σύνθεση (στο καταστατικό) του Πελάτη µας. 8. Η παρούσα Εγγύηση θα είναι επιπρόσθετη και δεν θα ζηµιώνει ούτε θα επηρεάζει καµία άλλη εγγύηση από τον Πελάτη µας, την οποία µπορεί να κατέχετε σήµερα ή σε µεταγενέστερο χρόνο. Με την επιφύλαξη άλλων όρων της εν λόγω Εγγυήσεως, στη November 2009 International Air Transport Association 6

περίπτωση που ο Πελάτης µας, παρέχει ξεχωριστή εγγύηση (ή οποιουδήποτε άλλου είδους ασφάλεια) υπέρ /προς όφελος ενός µέλους της ΙΑΤΑ ή άλλης αεροπορικής εταιρίας, που συµµετέχει στα συστήµατα BSP ή CASS, οι οφειλές που εξασφαλίζονται µε την παρούσα Εγγύηση θα καταβάλλονται πρωτίστως. Συνεπώς, τα ποσά που µπορεί να οφείλονται από τον Πελάτη µας και θα πρέπει να καταβληθούν στο εκάστοτε Μέλος ή αεροπορική εταιρία που είναι δικαιούχος στην διαφορετική αυτή εγγύηση, δεν θα καταβάλλονται έως ότου έχουν εξοφληθεί ολοσχερώς τα εκκρεµή χρέη του Πελάτη µας, στα άλλα Μέλη ή στις άλλες αεροπορικές εταιρίες. 9. Η πτώχευση, η ρευστοποίηση, ή η αφερεγγυότητα του Πελάτη µας δεν θα επηρεάσει ούτε θα καθορίσει την ευθύνη σύµφωνα µε την παρούσα Εγγύηση. 10. Οι υποχρεώσεις στην παρούσα Εγγύηση θα είναι έγκυρες και θα τεθούν σε εφαρµογή τώρα ή µετά την ηµεροµηνία που επηρεάζει ή µπορεί να επηρεάζει τους Κανόνες και δια του παρόντος επιβεβαιώνουµε ότι δεν είσαστε υποχρεωµένοι να πάρετε κανένα µέτρο ή να στραφείτε µε οποιοδήποτε άλλο τρόπο ενάντια στον Πελάτη µας χωρίς πρώτα να επικαλεστείτε την παρούσα Εγγύηση και δικαιούστε να µας αντιµετωπίσετε ως εγγυητές από κοινού και εις ολόκληρον µε τους Πελάτες µας στο περιορισµένο ποσό της παρούσας εγγύησης. 11. Η παρούσα Εγγύηση θα διέπεται σύµφωνα µε τους νόµους της Ελληνικής Επικράτειας. Για οποιαδήποτε διαφωνία που προέρχεται ή έχει σχέση µε την παρούσα Εγγυητική επιστολή, θα επιλύεται µε προσφυγή των µερών στα κατά τόπο αρµόδια δικαστήρια της Ελλάδας]. 12. Η παρούσα Εγγύηση δεν είναι µεταβιβάσιµη. Εφόσον χρειαστεί, µπορεί να µεταφραστεί σε άλλη γλώσσα για καθηµερινή χρήση, αλλά αν υπάρχει αντίφαση µεταξύ της αγγλικής έκδοσης και της άλλης γλώσσας, υπερισχύει η Αγγλική έκδοση... If and when our Customer shall fail to pay any sum(s) for any reason whatsoever payable immediately or otherwise in respect of the issuance during the period of this Guarantee of Traffic Documents or Transportation Orders, or air waybill or any other sum payable under the Rules (hereinafter referred to as the Debt ), we will pay that sum to you (up to the limit sum) on demand being made as hereinafter provided. We shall not delay the payment, nor shall we oppose if for any reason whatsoever. We shall inform you in writing as soon as payment has been made. 2. This Guarantee subject to the limit sum shall not be satisfied, discharged or affected by any intermediate payment or settlement of account. 4. The giving of time to our Customer or the neglect or forbearance by you in requiring or enforcing payment of monies under the terms of the Passenger Sales Agency Agreement signed by our Customer as a condition of accreditation as an IATA Agent, or other indulgence, shall not in any way prejudice or affect this Guarantee. 5. This Guarantee is valid from ----- (insert date) and shall continue in effect until withdrawn by us upon three months written notice given to IATA by registered mail and recorded delivery, whereupon this Guarantee shall expire at the end of the period of notice (hereinafter called the Expiry Date ). Thereafter, our joint and several liability hereunder shall automatically cease and this Guarantee shall become null and void. 6. Payment against this Guarantee shall be conditional on a written demand by IATA Country Manager Cyprus - stating that our Customer has failed to pay the Debt, and accompanied by a letter signed by IATA stating that our Customer has been declared in default under the November 2009 International Air Transport Association 8

Rules. The Debt so stated by IATA shall be deemed conclusive and final and we hereby confirm that we will not require proof of the same. Payment shall be made into an account to be specified by IATA Country. 7. This Guarantee shall remain in full force and effect, notwithstanding any change in the constitution of our Customer. 8. This Guarantee shall be in addition to and shall not be in any way prejudiced and affected by any one or more securities or guarantees from our Customer, which you may now or subsequently hold. Notwithstanding any other provision of this Guarantee, if our Customer provides a separate guarantee (or any other type of security) in favour of an IATA Member or airline participating in a BSP or CASS, in terms of which payment is guaranteed to such Member or airline of all amounts that may become due and payable by our Customer, the Member or airline which is beneficiary of such separate guarantee shall not be entitled to any payment under the present industry Guarantee until all outstanding indebtedness of our Customer to other Members or airlines hereunder shall have been discharged. 9. Bankruptcy, liquidation, or insolvency of our Customer shall not affect or determine our liability under this Guarantee. 10. The obligations under this Guarantee shall be valid and effective regardless of any opposite clause or agreement now or after this date in effect which affects or might in any way affect the Rules, and we hereby confirm that you are not bound to take any steps or to exhaust any remedies against our Customer before calling on this Guarantee and are entitled to treat us as surety or joint and several debtors with our Customer up to limit sum payable under this Guarantee. 11. This Guarantee shall be governed by and construed in accordance with the Laws of Cyprus. Any dispute arising out of or in connection with this guarantee shall be referred to the courts of the country of Cyprus 12. This Guarantee is non-assignable. It may be translated into another language for day-to-day operational use if necessary; however, in case of any inconsistency between the English version and the other version, the English version shall prevail.......
