Γνωστοποίηση Σημαντικών Μεταβολών σε Δικαιώματα Ψήφου σύμφωνα με το ν. 3556/2007 1. Η εταιρία «ΠΕΡΣΕΥΣ ΠΡΟΪΟΝΤΑ ΕΙΔΙΚΗΣ ΔΙΑΤΡΟΦΗΣ ΑΝΩΝΥΜΗ ΒΙΟΜΗΧΑΝΙΚΗ ΕΜΠΟΡΙΚΗ ΕΤΑΙΡΙΑ» (στο εξής: η «Εταιρία») έλαβε στις 31.12.2019 τις συνημμένες από 31.12.2019 γνωστοποιήσεις του κ. Craig Tashjian [Συνημμένο 1] και της εταιρίας Tashjian Capital LLC [Συνημμένο 2], με τις οποίες της γνωστοποιήθηκαν σημαντικές μεταβολές στα δικαιώματα ψήφου της, λόγω απόκτησης στις 30.12.2019 συνολικώς 125.063 κοινών μετοχών της Εταιρίας από την εταιρία Andromeda Seafood Sociedad Limitada ( Andromeda Seafood ), που ελέγχεται έμμεσα από τους ανωτέρω (κ. Craig Tashjian και την εταιρία Tashjian Capital LLC), όπως είχε λεπτομερώς ανακοινωθεί τη Δευτέρα, 2.12.2019, στις 9:10 π.μ. από την Εταιρία. 2. Κατόπιν τούτου, η Εταιρία, σε συνέχεια των ανακοινώσεων, στις οποίες είχε προβεί στις 2.12.2019 στις 9:10 π.μ. και στις 3.12.2019 στις 14:57, ανακοινώνει, σύμφωνα με το άρθρο 9 παρ. 4 του Ν. 3556/2007, τις ακόλουθες μεταβολές στο μετοχικό της κεφάλαιο και στα δικαιώματα ψήφου που παρέχουν οι μετοχές της: α) Ο κ. Craig Tashjian ελέγχει την εταιρία Tashjian Capital LLC και, μέσω σειράς εταιριών και επενδυτικών σχημάτων (funds) ελεγχόμενων από τα ανωτέρω πρόσωπα, όπως έχει εκτεθεί στις ως άνω από 2.12.2019 και 3.12.2019 ανακοινώσεις της Εταιρίας, σε συνέχεια των από 27.11.2019 Γνωστοποιήσεων του κ. Craig Tashjian και της εταιρίας Tashjian Capital LLC, τα πρόσωπα αυτά ελέγχουν την εταιρία Αndromeda Seafood, η οποία ελέγχει την εταιρία «ΙΧΘΥΟΤΡΟΦΕΙΑ ΣΕΛΟΝΤΑ ΑΕΓΕ» (εφεξής: η «Σελόντα»), η οποία κατέχει, ως άμεσος μέτοχος, 7.127.656 των μετοχών της Εταιρίας, οι οποίες αντιπροσωπεύουν περίπου 41,50% του μετοχικού της κεφαλαίου και των δικαιωμάτων ψήφου της. Ο κ. Craig Tashjian και η εταιρία Tashjian Capital LLC κατέχουν, επομένως, έμμεσα, μέσω της Σελόντα, 7.127.656 κοινές μετοχές και δικαιώματα ψήφου της Εταιρίας, ήτοι ποσοστό περίπου 41,50%. β) Η εταιρία Αndromeda Seafood, κατόπιν της απόκτησης, άμεσα, 125.063 κοινών μετοχών της Εταιρίας στις 30.12.2019, λαμβανομένων υπόψη και προηγούμενων αποκτήσεων μετοχών της Εταιρίας, κατέχει πλέον άμεσα 522.698 κοινές μετοχές και αντίστοιχα δικαιώματα ψήφου της Εταιρίας, που αντιπροσωπεύουν ποσοστό περίπου 3,04% του μετοχικού κεφαλαίου και των δικαιωμάτων ψήφου της Εταιρίας. Επομένως, ο κ. Craig Tashjian και η εταιρία Tashjian Capital LLC κατέχουν έμμεσα, μέσω της Αndromeda Seafood, κοινές μετοχές και δικαιώματα ψήφου της Εταιρίας, που αντιπροσωπεύουν ποσοστό περίπου 3,04% του μετοχικού κεφαλαίου και των δικαιωμάτων ψήφου της Εταιρίας.
γ) Κατόπιν αυτών, σε συνέχεια των συναλλαγών που καταρτίστηκαν στις 30.12.2019 (ανωτέρω υπό β) οι κοινές μετοχές και τα ποσοστά δικαιωμάτων ψήφου της Εταιρίας, που κατέχουν έμμεσα, μέσω των εταιριών Σελόντα και Αndromeda Seafood, ο κ. Craig Tashjian και η εταιρία Tashjian Capital LLC, ανήλθαν από 7.127.656 κοινές μετοχές και ποσοστό περίπου 41,50% στις 27.11.2019, όπως είχε ανακοινωθεί στις 2.12.2019, σε 7.650.354 κοινές μετοχές και ποσοστό 44,54% των δικαιωμάτων ψήφου. 3. Σύμφωνα, λοιπόν, με την ως άνω, υπό σημείο 1, από 31.12.2019 γνωστοποίηση του κ. Craig Tashjian και της εταιρίας Tashjian Capital LLC, λαμβανομένων υπόψη των δικαιωμάτων ψήφου της Εταιρίας που κατέχουν άμεσα η εταιρία WISE MANAGEMENT SA (που κατέχει 7.150.662 μετοχές της Εταιρίας που αντιπροσωπεύουν ποσοστό περίπου 41,63% του μετοχικού κεφαλαίου και των δικαιωμάτων ψήφου της) και ο κ. Γεώργιος Αντύπας (που κατέχει 1.034.447 μετοχές της Εταιρίας, που αντιπροσωπεύουν ποσοστό περίπου 6,02% του μετοχικού κεφαλαίου και των δικαιωμάτων ψήφου της), και τα οποία ασκούνται με βάση τους όρους της από 18.7.2007 Σύμβασης Μετόχων μεταξύ της εταιρίας Σελόντα, της εταιρίας WISE MANAGEMENT SA και του κ. Γεωργίου Αντύπα, το σύνολο των δικαιωμάτων ψήφου που κατέχουν έμμεσα ο κ. Craig Tashjian και η εταιρία Tashjian Capital LLC, αθροιζόμενο με το ποσοστό κοινών μετοχών και δικαιωμάτων ψήφου της εταιρίας WISE MANAGEMENT SA και του κ. Γεωργίου Αντύπα, ανήλθε από ποσοστό περίπου 89,15% στις 27.11.2019, όπως είχε ανακοινωθεί στις 3.12.2019, σε ποσοστό περίπου 92,20%.
